Terms of Service

1. Agreement to Terms

By accessing or using the Base-Fare B2B corporate travel platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Enterprise Subscriptions

Access to the Base-Fare platform requires an active enterprise Master Services Agreement (MSA) between Base-Fare and your organization. Individual user accounts must be provisioned by your designated corporate administrator. Subscription fees are outlined in your MSA and are subject to annual review.

3. Booking and Fulfillment

Base-Fare acts as an agent on behalf of the user to procure air, hotel, car rental, and rail accommodations from third-party vendors through Global Distribution Systems (GDS) and direct airline connects (NDC). We are not liable for vendor cancellations, schedule changes, or service failures not directly caused by our platform. All bookings are subject to the terms and conditions of the underlying travel supplier.

4. Data Accuracy

You agree to provide accurate and complete information when booking travel, particularly regarding passenger names matching government-issued identification as required by the Transportation Security Administration (TSA) Secure Flight program, or equivalent international authorities. Inaccurate data may result in denied boarding, for which Base-Fare bears no liability.

5. Acceptable Use

You agree not to use the Service:

• To make speculative, fraudulent, or personal bookings outside authorized corporate travel.
• To access or attempt to access another user's account without authorization.
• To reverse engineer, decompile, or disassemble any part of the platform.
• To transmit any malicious code, viruses, or harmful content through the Service.

6. Limitation of Liability

In no event shall Base-Fare, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

7. Indemnification

You agree to defend, indemnify, and hold harmless Base-Fare and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of and access to the Service.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law provisions. Any disputes arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Albany County, New York. You consent to personal jurisdiction in such courts.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
